Companies House

Companies House are responsible for maintaining the public record in relation to limited companies and limited liability partnerships. The responsibility extends to incorporating and dissolving limited companies and examining and storing company information delivered under the Companies Act and other related legislation.

Throughout a limited company life cycle, it is the responsibility of the Company Secretary to deliver to Companies House the statutory returns as laid down in the Companies Act. The most common place of these returns are the annual financial statements and annual return (which is a declaration of company information and related stakeholders - including shareholders), the less commonplace being for example the issue of new shares or debentures, or change of Director or Secretary.

Upon incorporation, the subscribers to a company also have to submit certain documents which must also be witnessed by a solicitor prior to incorporation. ESquare can help you set up your limited company and advises on key issues, such as the Business Names Act, which precludes certain names.
